TERMS OF SERVICE
In this terms of service, and throughout the agreements on this web site, (collectively, the "Agreement") "you" and "your" refer to each customer or web site visitor, "we", us" and "our" and "FreeLLCs.com" refers to FreeLLCs.com, LLC.

THIS SITE IS PROVIDED AS-IS WITH NO REPRESENTATIONS OR WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. FREELLCS.COM SHALL NOT BE LIABLE TO YOU WHETHER FOR BREACH OF WARRANTY OR ANY OBLIGATION ARISING THEREFROM OR OTHERWISE, WHETHER LIABILITY IS ASSERTED IN CONTRACT OR TORT (INCLUDING NEGLIGENCE AND STRICT PRODUCT LIABILITY) AND IRRESPECTIVE OF WHETHER YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF ANY SUCH LOSS OR DAMAGE. YOU HEREBY WAIVE ANY CLAIMS THAT THESE EXCLUSIONS DEPRIVE YOU OF AN ADEQUATE REMEDY. IN NO EVENT WILL FREELLCS.COM'S AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS RELATING TO THIS SITE AND/OR THE GOODS AND SERVICES OFFERED IN CONNECTION THEREWITH, WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED THE FEES PAID BY YOU AND RECEIVED BY FREELLCS.COM FOR THE GOODS AND/OR SERVICES.

YOU ACKNOWLEDGE THAT THIRD PARTY PRODUCT AND SERVICE PROVIDERS MAY ADVERTISE THEIR PRODUCTS AND SERVICES ON THE FREELLCS.COM WEB SITE. FREELLCS.COM FORMS "PARTNERSHIPS" OR ALLIANCES WITH SOME OF THESE VENDORS FROM TIME TO TIME IN ORDER TO FACILITATE THE PROVISION OF THESE PRODUCTS AND SERVICES TO YOU. HOWEVER, YOU ACKNOWLEDGE AND AGREE THAT AT NO TIME IS FREELLCS.COM MAKING ANY REPRESENTATION OR WARRANTY REGARDING ANY THIRD PARTY'S PRODUCTS OR SERVICES, NOR WILL FREELLCS.COM BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CLAIMS ARISING FROM OR IN CONNECTION WITH SUCH THIRD PARTY PRODUCTS AND SERVICES. YOU HEREBY DISCLAIM AND WAIVE ANY RIGHTS AND CLAIMS YOU MAY HAVE AGAINST FREELLCS.COM WITH RESPECT TO THIRD PARTY PRODUCTS AND SERVICES, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

FreeLLCs.com at its sole discretion may choose to change the terms, conditions and operation of this web site at anytime. By using this service you waive any rights or claims you may have against FreeLLCs.com.

FEDERAL, STATE AND LOCAL FILING REQUIREMENTS
FreeLLCs.com is not responsible for advising or reminding you of any requirements or obligations, including, but not limited to any required federal, state or local filings, annual reports, taxes due, other requirements, or business license or permit issues. FreeLLCs.com's sole responsibility is the preparation of your requested form. Any requirements or obligations for the maintenance of your corporation, business entity or other business services are NOT the responsibility of FreeLLCs.com and are the sole responsibility of you. We strongly suggest that you send all correspondence to third parties via U.S. Certified Return Receipt Mail.

RETURNS, REFUNDS & CANCELLATIONS
FreeLLCs.com is confident in its ability to deliver a service that exceeds customer expectations. We pride ourselves on providing the highest level of service in the industry. In the unlikely event that an LLC filing error is made, FreeLLCs.com responds promptly to remedy the error. FreeLLCs.com’s liability relating to any product or service shall be strictly limited to the amount paid to and received by FreeLLCs.com for such product or service. FreeLLCs.com shall not be liable for special, indirect or consequential damages, including lost profits, even if it has been advised of the possibility of such damages, arising from any cause whatsoever, including negligence.

In the unlikely event that you are dissatisfied with our service, FreeLLCs.com will undertake its best efforts to resolve the matter to your satisfaction. If you are still dissatisfied after FreeLLCs.com's attempts to resolve the matter, the following terms and conditions apply.

RETURN POLICIES RELATING TO PHYSICAL PRODUCTS:
You have 30 days from the product's ship date to be eligible for a refund. You must include a copy of the packing slip for a refund.

Any funds already applied towards state filing fees, publication fees, LLC kits, seals, certificates and/or shipping and handling are nonrefundable. For all checks returned to FreeLLCs.com due to non-sufficient funds or closed accounts, a $35.00 penalty and any additional bank service fees will be added. If you have additional questions regarding returns and refunds, please call 1-800-277-1LLC.

RETURN POLICIES RELATING TO FREELLCS.COM SERVICES
If an order is cancelled before the preliminary name check for an LLC formation has been completed, FreeLLCs.com will refund the total order amount less a $50.00 processing fee. If an order is cancelled after the preliminary check has been completed, FreeLLCs.com will issue no refund. Money paid to FreeLLCs.com that has already been paid to the state for filing fees or to suppliers is not refundable. An “order” includes all products and/or services purchased or provided by FreeLLCs.com, whether in a single or multiple transactions.

RETURN POLICIES RELATING TO REGISTERED AGENT
If a registered agent order is cancelled prior to FreeLLCs.com filing your LLC documents with the state, FreeLLCs.com will refund the total payment less $50.00 as a processing fee. If a registered agent order is cancelled after FreeLLCs.com files your LLC documents with the state, FreeLLCs.com will issue no refund.

CANCELLATION
To ensure uninterrupted service, customers are automatically enrolled in FreeLLC.com’s autopay program. This program allows FreeLLCs.com to charge for the monthly service fee associated with the customer’s services.  The monthly service fee is the current published rate.  In the event you wish to cancel your service, you must notify FreeLLCs.com in writing at support@freellcs.com 7 business days prior to the next monthly charge so that we have adequate time to terminate the autopay program and your services.  

DELIVERY TIME & METHODOLOGY
We will begin processing your order promptly.  Please note that delivery times are dependent on the state in which you chose to form your LLC and will generally take 4-6 weeks.  We will make your LLC documents available to you promptly on receipt from the state government by uploading them into your private portal on our web site.  We will deliver your St.artUp.biz Package to you at or before this time via email and the customer portal.

EMAIL TRANSMISSIONS
Transmission of email is at your own risk. FreeLLCs.com cannot accept responsibility for your transmission of confidential information or any obligation with respect to that information.

SUBMISSION OF CORRECT INFORMATION BY YOU
You agree that you are responsible for the spelling, accuracy, and truthfulness of information forwarded to FreeLLCs.com and that information is exactly as you desire for FreeLLCs.com to perform the services requested. Submission of credit card information via our web site, via facsimile, or otherwise authorizes FreeLLCs.com to charge your credit card for the services.

PURCHASE OF SERVICES BY AGENT
You agree that, if an agent (e.g., an internet service provider, employee, attorney, CPA, etc.) purchased our services on your behalf, you are nonetheless bound as a principal by all terms and conditions herein.

COPYRIGHT AND TRADEMARKS
All web site design, text, graphics, sound, software and other content, and the selection and arrangement thereof, are the property of FreeLLCs.com or its licensors, and are protected by United States and international copyright law. All rights to such materials are reserved to their respective copyright owners. Permission is granted to electronically copy and to print in hard copy portions of this web site for the sole purpose of placing an order with FreeLLCs.com or using this web site as a shopping vehicle. Any other use of materials on this site, including without limitation reproduction for purposes other than noted above, modification, distribution, replication, commercial or other exploitation, or creation of derivative works, without the prior written permission of FreeLLCs.com, is strictly prohibited.

FreeLLCs.com, and all logos, page headers, custom graphics and icons are service marks and/or trademarks of FreeLLCs.com or its licensors or affiliates. All other trademarks, service marks, product names and company names or logos that appear on this site are the property of their respective owners. 

RIGHT OF REFUSAL
FreeLLCs.com, in its sole discretion, reserves the right to refuse to provide services to you. You agree that FreeLLCs.com shall not be liable to you for loss or damages that may result from our refusal to provide services.

SEVERABILITY
Any provision or term of this Agreement held invalid, illegal, or ineffective by a court of competent jurisdiction will not impair, invalidate or nullify the remainder of this Agreement.

GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflicts of laws provisions. You submit to the exclusive jurisdiction of the State and Federal Courts having jurisdiction in Harris County in the State of Texas, and you waive any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorney fees.  

COMPLIANCE WITH APPLICABLE LAWS
You agree that you are in compliance with all relevant laws relating to your use of FreeLLCs.com and this web site.  You agree to indemnify and hold FreeLLCs.com harmless from any and all claims, damages, losses or obligations suffered or incurred by you arising from your failure to comply.

POWER OF ATTORNEY
You grant FreeLLCs.com, its agents, employees, and representatives power of attorney for the purpose of providing the goods and services to you contemplated by your order, including but not limited to the execution of any document to be filed with or approved by the secretary of state or any applicable state and federal governmental entity.   You authorize FreeLLCs.com to affix your signature to documents, where applicable.

WAIVER
No delay on the part of any party to exercise any right under this Agreement will operate as a waiver of that or any other right. No partial exercise of any right under this Agreement will preclude any other or further exercise or the exercise of any other right. No waiver of any right with respect to any occurrence will be construed as a waiver of that right with respect to any subsequent or other occurrence.  No waiver will be valid unless in writing and signed by the waiving party and then only to the extent provided in the written waiver.

ENTIRE AGREEMENT
This Agreement is the complete and exclusive agreement between you and FreeLLCs.com regarding our products and/or services. This Agreement cannot and will not be contradicted by evidence of any prior, contemporaneous, or subsequent oral agreements of the parties.  There are no unwritten oral agreements between the parties.

BY USING THIS SITE AND/OR ANY RELATED SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO THESE TERMS OF SERVICE.
